Amid the depths of the Great Recession, Starwood Capital recognized that traditional commercial lenders were withdrawing from the marketplace and a significant need had emerged for alternative commercial mortgage financings. In response, the Firm established Starwood Property Trust and in August 2009 took the company public (NYSE: STWD)—creating the largest blind pool company ever traded on the New York Stock Exchange. The business has since grown dramatically, and Starwood Property Trust today is the largest commercial mortgage REIT in the United States.

REIT: are a type of security that can be bought and sold, like stocks, on the major stock exchanges. Both are investments in real estate but their approaches are very different.

Equity REIT: Equity real estate investment trusts are the best-known type of REIT. Their revenues are mainly generated through rental payments on their real estate holdings. The companies acquire, manage, build, renovate, and sell income-producing real estate.

Mortgage REIT: also called mREITs—invest in mortgages, (MBS), and related assets. While equity REITs generate revenue through rents, mortgage REITs earn income from the interest payments on mortgages.

Starwood Property Trust’s multi-cylinder investment platform allows it to dynamically seek out investment opportunities across a much broader universe.

By leveraging the scale and global relationships of Starwood Capital Group and its affiliates, Starwood Property Trust is able to identify potential transactions that the company believes cannot be sourced by many of today’s market participants.

The company’s core business focuses on originating, acquiring, financing and managing commercial mortgage loans and other commercial real estate debt investments.

A portfolio of $26 billion across the company’s Commercial and Residential Lending, Infrastructure Lending, Investing & Servicing and Property business segments.

The ability to leverage the platform of Starwood Capital Group, a leading global private investment firm with 32 years of experience and broad operating expertise across virtually every real estate asset class.

One of the largest commercial mortgage special servicing businesses in the United States.

A strategy of mitigating risk by maintaining a diversified portfolio of investments.

A focus on providing a secure dividend for investors.

INFORMATION ADVANTAGE
The expertise developed through Starwood Capital Group’s symbiotic business lines enhances Starwood Property Trust’s judgment throughout the underwriting process.

Main Competitors in Mortgage REIT:

Annaly Capital (NLY), AGNC Investment (AGNC)

Composition: NLY & AGNC primarily focus on agency mortgage-backed securities (MBS). These are securities backed by mortgages and guaranteed by government-sponsored entities like Fannie Mae or Freddie Mac.
STWD Focuses on commercial real estate (CRE), making it distinct from Annaly and AGNC. Its portfolio includes commercial mortgage loans, equity investments in real estate, and infrastructure lending.

Risk: Both NLY & AGNC are interest rate-sensitive because their earnings depend on the spread between borrowing costs and the yield on MBS. Lower credit risk due to their agency-backed MBS, but higher interest rate risk, especially in rising-rate environments.
STWD has higher credit risk because it deals with commercial loans and real estate assets that are not government-backed. Less sensitive to interest rate fluctuations but exposed to the health of the commercial real estate market. Generally less leveraged than agency REITs, which can make it somewhat more stable in volatile interest rate environments.

Business Model Complexity: NLY & AGNC both have simpler business models focused on MBS and leveraging spreads. Heavy use of leverage and hedging strategies to generate returns.
STWD: More complex business model due to diversification into multiple real estate sectors, including infrastructure and servicing. Provides exposure to different types of assets, which can reduce single-sector risk but adds operational complexity.

Performance Drivers: NLY & AGNC: Performance is closely tied to interest rate environments (e.g., Fed rate changes, yield curve steepness, mortgage prepayment speeds). Rising rates can compress margins, while falling rates can boost returns.
STWD: Driven by the health of the commercial real estate market, loan performance, and demand for financing. Less impacted by short-term interest rate changes but affected by broader economic conditions (e.g., credit availability and real estate demand).
